These Terms of Service ("Terms") govern your access to and use of AssignMe, a live staff-assignment board provided by AssignMe LLC ("AssignMe", "we", "us"). By creating an account, requesting access, or using the service, you agree to these Terms on behalf of yourself and the organization you represent.
1. The service
AssignMe provides a web-based tool that lets healthcare teams record and share which staff members are assigned to which units, rooms or areas during a shift, including read-only links for staff viewing. The service is a workflow and coordination tool. It is not a medical device, not an electronic health record, not a scheduling or payroll system, and it does not provide clinical, medical, staffing-adequacy or legal advice. Clinical and staffing decisions remain entirely the responsibility of your organization and its licensed professionals.
2. Accounts and eligibility
You must be at least 18 years old and authorized to act for your organization. You are responsible for the accuracy of your account information, for maintaining the confidentiality of credentials, and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access. Account owners are responsible for the conduct of team members they invite.
3. Acceptable use
You agree not to: (a) enter patient or other protected health information into the service; (b) use the service unlawfully or in violation of professional obligations; (c) attempt to access another organization's data; (d) probe, scan or test the vulnerability of the service without written permission; (e) interfere with or overload the service; (f) reverse engineer, decompile or copy the software except as permitted by law; (g) resell or provide the service to third parties without our written agreement; or (h) use the service to build a competing product.
We may suspend access immediately where we reasonably believe these obligations have been breached or where continued use presents a security or legal risk.
4. Staffing data only — no patient information
The service is designed to hold only staffing workflow, not information about your customers, clients or (in healthcare) patients, and you agree not to submit it. In healthcare settings, automated screening rejects submissions that appear to contain patient or clinical details. You are responsible for ensuring your team understands this restriction. Because we do not intend to receive protected health information, we do not act as a business associate, and no Business Associate Agreement is contemplated by these Terms.
4b. AI-assisted assignment (optional)
The service includes an optional AI feature that helps build and rebalance a shift assignment from the operational information you provide (staff names, roles, and area labels, plus any roster document or screenshot you choose to upload, the instructions you type, and short assistant memory notes you create through use). This feature must not be used with patient or other protected health information, and the same automated screening applies. To generate suggestions, this operational data is sent to a third-party AI provider that processes it only to return a result and does not use it to train its models. AI output is a suggestion only: it may be incomplete or wrong, it is not clinical, medical, or staffing-adequacy advice, and a qualified manager or shift lead remains responsible for reviewing, changing, and approving every assignment before it is used. You can always manage assignments manually instead.
5. Subscriptions, trials and billing
Paid plans are offered on a monthly or annual subscription per facility, at the rates shown on our website or in your written order. Free trials are provided for evaluation and require no payment card; the trial ends automatically at the stated period. Subscriptions renew automatically for successive terms until cancelled.
Payments are processed by our third-party payment processor; we do not receive or store full card details. You authorize recurring charges for the subscription you select. Fees are exclusive of taxes, which you are responsible for where applicable. Except where required by law, fees already paid are non-refundable, though you may cancel at any time to prevent future charges. You may switch between monthly and annual billing; changes are prorated by the payment processor. We may change prices with reasonable notice, effective at your next renewal.
6. Cancellation, suspension and closure
You may cancel at any time from Account settings. Access continues until the end of the paid period, after which boards become read-only or locked until a subscription is resumed. Closing your account pauses billing and retains your data so it can be restored if you return; you may instead request permanent erasure, which is irreversible. We may suspend or terminate accounts for non-payment, breach of these Terms, or where required by law.
7. Your data
You retain all rights to the information your organization enters. You grant us only the limited licence necessary to host, process, back up and display that information in order to provide the service. We do not sell your data or use it for advertising. You can export your data at any time. Aggregate, de-identified statistics that cannot identify you or your organization may be used to improve the service.
8. Availability and support
We work to keep the service available continuously and monitor it around the clock, but we do not guarantee uninterrupted operation. Maintenance, third-party outages and factors beyond our control may cause interruption. Because assignment information is operationally important, we provide printable assignment sheets so your unit can continue working during any downtime, and we recommend keeping that fallback in your workflow. Support is provided by email during business hours.
9. Intellectual property
The service, including its software, design, and branding, is owned by AssignMe LLC and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. Feedback you provide may be used to improve the service without obligation to you.
10. Disclaimers
The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will meet every requirement or be error-free. You are responsible for verifying that assignments are correct and that your unit is appropriately staffed.
11. Limitation of liability
To the fullest extent permitted by law, AssignMe LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising out of or relating to the service. Our total aggregate liability for any claim will not exceed the amount you paid us for the service in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Indemnity
You agree to indemnify and hold harmless AssignMe LLC from claims arising out of your misuse of the service, your violation of these Terms, or your submission of information you were not permitted to submit.
13. Changes to these Terms
We may update these Terms as the service evolves. Material changes will be communicated by email or an in-service notice before they take effect. Continued use after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict-of-law rules, and the parties submit to the exclusive jurisdiction of the courts located there, except where mandatory local consumer law provides otherwise.
